End User License Agreement (EULA)

This End User License Agreement (“Agreement”) governs your access to and use of the Vox Fulfillment Integration App (“App”) made available by Vox Fulfillment (“we,” “us,” or “Vox”). By installing, accessing or using the App, you (“you” or “Seller”) agree to be bound by this Agreement. If you do not agree, do not install or use the App.
1. License Grant
Subject to your compliance with this Agreement, Vox fulfillment grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the App solely for the purpose of connecting your Amazon Seller account to Vox Fulfillment for order processing of your Amazon FBM (Fulfilled by Merchant) orders. The App is available only to current Vox Fulfillment clients in good standing.
2. Acceptable Use
You agree to use the App strictly in accordance with this Agreement and all applicable Amazon policies, including but not limited to the Amazon Services API Acceptable Use Policy (“Amazon AUP”). You shall:
- Use the App only to perform authorized activities on behalf of yourself or your organization as a Seller on Amazon, and only where you are the authorized user. Amazon Seller Central+1
- Not facilitate, promote or help any third party to violate the terms of your agreement with Amazon, including the Amazon Services Business Solutions Agreement. Amazon Seller Central+1
- Maintain full transparency and truthfulness with respect to your use of the App, including the purpose of data access and any modeling or analytics applied. Amazon Seller Central
- Not reverse-engineer, disassemble, decompile or attempt to derive the source code of the App or any part thereof.
- Not permit the App to be used for any unlawful purpose, for any activity that violates Amazon’s policies, or for any unauthorized sharing or sublicensing of the App.
- Immediately suspend or restrict any seller account access if you become aware that a user is using the App to violate your agreement with Amazon, and promptly notify Amazon if required. Amazon Seller Central
3. Data and Privacy
The App will transmit order, shipment and related data between your Amazon Seller account and Vox Fulfillment. By using the App, you consent to such data transfer, storage and processing in accordance with our Privacy Policy. You represent and warrant that you have all necessary rights and permissions to share the data with Vox and that such use is compliant with Amazon’s data-protection policies.
4. Intellectual Property
All right, title and interest in the App (including all modifications, enhancements and derivative works) remain with Vox or its licensors. You shall not copy, modify, reproduce, distribute or create derivative works of the App (except as expressly permitted by Vox in writing).
5. Termination
We reserve the right to suspend or terminate your access to the App at any time, with or without cause. Upon termination, your license under this Agreement will terminate immediately and you must cease all use of the App. Any data processing rights granted hereunder will also cease, except to the extent that applicable law or our retention policy requires retention of data.
6. Disclaimer of Warranty
The App is provided “as is” and “as available,” without warranty of any kind. To the fullest extent permitted by applicable law, Vox disclaims all warranties, whether express, implied, statutory or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted availability.
7. Limitation of Liability
To the maximum extent permitted by law, Vox (and its officers, directors, employees, agents, affiliates and licensors) shall not be liable for any indirect, special, incidental, consequential or punitive damages (including loss of profits, revenue, data or business opportunity) arising out of or related to your use or inability to use the App, even if advised of the possibility of such damages. Vox’s aggregate liability for all claims under this Agreement shall not exceed the amount you paid for the App (if any) in the twelve (12) months preceding the claim.
8. Modifications to this Agreement
We may update or modify this Agreement from time to time, in our sole discretion. Your continued use of the App after such revisions constitutes your acceptance of the changes. The “Last Updated” date will reflect the revision date.
9. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-law principles. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Utah, and you hereby consent to personal jurisdiction and venue in those courts.
10. Data Sharing with Third Parties
Vox Fulfillment only shares Amazon Information with third-party service providers as necessary to fulfill your Amazon FBM orders and comply with your shipping instructions.
Specifically, Vox Fulfillment transmits limited order and shipment data — such as recipient name, shipping address, package weight, and service level — to authorized shipping carriers for the sole purpose of generating and processing shipping labels.
The third-party carriers with whom we may share this information includes:
- FedEx
- UPS
- DHL
- UNIUNI
- USPS
No other Amazon Information is shared, sold, or disclosed to these or any other outside parties for marketing or analytics purposes. Vox Fulfillment uses this data exchange only to create accurate shipping labels, transmit shipment tracking numbers, and complete the delivery process on behalf of Amazon sellers.
All data shared with carriers is transmitted securely using industry-standard encryption protocols, and only the minimum information required to complete shipping transactions is provided.
